What do I need to start a DAO LLC?
You will need the following information to complete your DAO LLC filing with the Wyoming Secretary of State. Our team will ensure all requirements are met when you form with us.
1. Smart Contract Identifier
A publicly available identifier of any smart contract directly used to manage, facilitate, or operate the DAO.
This can be a link to your smart contract or an address where you and your team will manage the DAO in the future.
2. Notice of Restrictions Location
Decide whether the Notice of Restrictions on Duties and Transfers (pursuant to W.S. 17-31-104(c)) will appear in your operating agreement.
- Option A: Yes - The Notice will appear in the Operating Agreement (most common)
- Option B: No - You must provide the Notice separately in your Articles of Organization
Important: If you choose "No," the Notice must closely follow the state-provided language. If it's too different, the state may reject your application, requiring you to resubmit and pay state fees again.
3. Standard Notice Language
If the Notice will appear in your operating agreement, here is the standard language recommended by Wyoming case law:
- "The rights of members in a decentralized autonomous organization may differ materially from the rights of members in other limited liability companies. The Wyoming Decentralized Autonomous Organization Supplement, underlying smart contracts, articles of organization and operating agreement, if applicable, of a decentralized autonomous organization may define, reduce or eliminate fiduciary duties and may restrict transfer of ownership interests, withdrawal or resignation from the decentralized autonomous organization, return of capital contributions and dissolution of the decentralized autonomous organization."
4. Management Structure
Decide whether your DAO is member-managed or algorithmically managed (pursuant to W.S. 17-31-104(e)).
If management will be conducted algorithmically, you must provide a statement explaining to what extent. Here's a standard statement you can use:
- "The DAO LLC will be managed algorithmically by the [Name of the Smart Contract] smart contract, established on the [Name of the Blockchain] blockchain."
5. Wyoming Registered Agent
